1. Who we are

The Forked.gg platform, websites, applications, and related services (the "Platform") are provided by the following affiliated entities, each organized under the laws of the Republic of Panama:

• Helix Games Foundation, a Panama private-interest foundation (registered in the Public Registry of Panama under Folio No. 25061724, resident agent Mata & Pitti), which is the issuer of the $FORK token (the "Foundation").
• Helix Games Inc., a Panama corporation (sociedad anónima) registered in the Public Registry of Panama under Folio No. 155768673, resident agent Mata & Pitti, which is responsible for node licenses, platform development, and operation of the Platform (the "Company").

Forked.gg is the product and brand operated by these entities, which were previously developed under the name Helix Games. References to "we," "us," or "Forked.gg" mean the relevant entity for the activity in question: the Foundation for the $FORK token, and the Company (Helix Games Inc.) for node licenses, the Platform, and the Predictive Engine.

2. Acceptance of these terms

By accessing or using the Platform you agree to be bound by these Terms & Conditions (the "Terms"). If you do not agree, do not access or use the Platform. These Terms incorporate by reference any product-specific terms presented to you for the token, node licenses, or the Predictive Engine. Where a product-specific term conflicts with these Terms, the product-specific term controls for that product.

3. Eligibility

You may use the Platform only if you are at least 18 years old (or the age of majority in your jurisdiction, if higher), have the legal capacity to enter into a binding contract, and are not barred from doing so under any applicable law. You are solely responsible for determining whether your use of the Platform, the token, or a node license is lawful in your jurisdiction, and for complying with all laws that apply to you.

4. Excluded jurisdictions and restricted persons

The Platform, the $FORK token, and node licenses are not offered, sold, or made available to, and may not be accessed or acquired by, any of the following (each a "Restricted Person"):

• persons who are residents, nationals, or citizens of, or who are located or domiciled in, the United States of America (including its territories and possessions), and "U.S. Persons" as defined under Regulation S of the U.S. Securities Act of 1933, as amended;
• persons located in, or who are residents, nationals, or citizens of, any jurisdiction subject to comprehensive sanctions or embargoes administered by the U.S. Office of Foreign Assets Control (OFAC), the United Nations, the European Union, or the United Kingdom, currently including Cuba, Iran, North Korea, Syria, the Russian Federation, Belarus, and the Crimea, Donetsk, Luhansk, Kherson, and Zaporizhzhia regions of Ukraine;
• persons identified on any sanctions or denied-persons list (including OFAC's Specially Designated Nationals list);
• persons located in, or who are residents of, any jurisdiction identified by the Financial Action Task Force (FATF) as a high-risk or non-cooperative jurisdiction;
• persons in any other jurisdiction where access to or acquisition of the Platform, the token, or a node license would require a registration, license, or authorization that has not been obtained, or would otherwise be unlawful.

You represent and warrant, on each access and on each acquisition, that you are not a Restricted Person and are not acting on behalf of a Restricted Person. We may use technical or other measures (including geo-blocking) to enforce these restrictions, and we may refuse, restrict, suspend, or reverse access where we believe a restriction applies.

5. FORKcast, the Predictive Engine (points)

FORKcast, the Forked.gg predictive engine, lets you take positions, using points, on clearly defined, observable outcomes in games and on streams. In the current version:

• Points have no monetary value. They are an internal unit of standing and conviction within the Platform. They are not money, not legal tender, not a security, not a financial instrument, and not a claim on any asset, revenue, or person.
• There is no cash component. There is no way to buy points with money and no way to redeem, withdraw, or cash out points for money or anything of monetary value. This is enforced as an architectural limit in the system, not merely a policy setting.
• Outcomes are settled by the relevant streamer or an authorized manager against the rules recorded when the market was created, with an audit log and a dispute path. Points standing reflects skill and observation, not a wager on a prize of value.

Because the current Predictive Engine is points-only with no cash in-ramp and no cash-out, it is not intended to constitute gambling, a money-services activity, or the offering of a financial product.

6. Identity verification and anti-money-laundering

While the Predictive Engine remains points-only with no cash component, no identity verification or anti-money-laundering (AML) program is required to participate.

If a cash component is ever introduced (for example, the ability to acquire points with money or fiat-equivalents, or to redeem points or winnings for money), or if live $FORK tokens become usable on the Platform (including converting tokens to points or using tokens for payments, fees, or bonds), then know-your-customer (KYC) and AML requirements, sanctions screening, transaction monitoring, record-keeping, and additional geographic restrictions may apply, and your continued use of the affected features may be conditioned on completing them. We may suspend or restrict features pending the implementation of, or your completion of, such requirements.

7. The $FORK token

$FORK is a utility token issued by the Foundation, designed to function as fuel, access, and an integrity bond within the ecosystem. The following apply to $FORK:

• Not a security or investment. $FORK is not offered or sold as, and is not intended to be, a security, share, equity, debt instrument, fund unit, derivative, or investment of any kind. Acquiring $FORK does not grant any ownership, equity, dividend, interest, revenue share, or governance right over the Foundation, the Company, or any affiliate, beyond the in-protocol utilities described in our documentation.
• No promise of value or profit. Nothing we publish is a promise, representation, or guarantee of any price, value, yield, return, or profit. $FORK may lose value or become worthless. Emissions, burns, and supply mechanics manage token supply and are not commitments about price. You should not acquire $FORK with an expectation of profit derived from the efforts of others.
• No offer or solicitation. No content on the Platform is an offer or solicitation to buy or sell any security or financial product, or an offer of $FORK in any jurisdiction where such an offer would be unlawful. Any token distribution is made only under separate terms and only to persons who are not Restricted Persons.
• Provisional design. Token supply, allocation, emissions, and utility are provisional, are subject to change, and are subject to legal review before any sale or distribution.

8. Node licenses

Node licenses are sold and administered by the Company. A node license is a license to operate a node and perform real service for the network (such as hosting, content delivery, and availability). The following apply:

• A right to perform work, not an investment. A node license is not offered or sold as a security, an investment contract, or a passive-income instrument. It does not represent equity, debt, or a share of profits, and it carries no promise of yield, return, or profit. Rewards, where available, are earned for verified service actually performed by the operator, measured by availability, consistency, and reliability, and are not a return on a passive holding.
• Operator obligations. Operating a node requires meeting and maintaining the technical and uptime requirements published by the Company, which may change over time.
• Transfer restrictions. Licenses may carry transfer restrictions during an initial stabilization period and may become freely transferable thereafter, as set out in the node license terms.
• No offer where unlawful. Node licenses are not offered or sold to Restricted Persons or in any jurisdiction where the offer or sale would be unlawful.

9. Risk acknowledgment

Participating in digital assets, tokens, node licenses, and on-chain systems carries significant risk, including the risk of total loss. By using the Platform you acknowledge and accept the risks described in our risk disclosures, including regulatory and legal change, technology and smart-contract failure, third-party and integration risk, execution risk, and liquidity and market risk. You participate at your own risk.

10. Intellectual property

The Platform, including its software, design, brand, trademarks, and content, is owned by or licensed to the Company and its affiliates and is protected by law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Platform for its intended purpose. You may not copy, modify, distribute, reverse engineer, or create derivative works except as permitted by law or by us in writing.

11. Acceptable use

You agree not to:

• use the Platform for any unlawful purpose, or to evade the restrictions in these Terms (including the Restricted Person restrictions);
• manipulate markets, resolutions, leaderboards, or rewards, or use bots or automated abuse;
• interfere with, compromise, or attempt to gain unauthorized access to the Platform or others' accounts;
• misrepresent your identity, eligibility, or jurisdiction, or use the Platform on behalf of a Restricted Person.

We may suspend or terminate access for any breach of these Terms.

12. Disclaimers

The Platform is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Platform will be uninterrupted, secure, error-free, or free of harmful components, or that any outcome, resolution, or reward will meet your expectations.

13. Limitation of liability

To the maximum extent permitted by law, the Foundation, the Company, and their affiliates, and their respective directors, officers, council members, employees, and agents, will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, tokens, points, or goodwill, arising out of or relating to your use of the Platform, even if advised of the possibility. To the extent liability cannot be excluded, our aggregate liability is limited to the total amount you have paid us, if any, for the relevant service.

14. Indemnification

You agree to indemnify and hold harmless the Foundation, the Company, and their affiliates and personnel from any claim, loss, liability, or expense (including reasonable legal fees) arising out of your use of the Platform, your breach of these Terms, your violation of any law, or your misrepresentation of your eligibility or jurisdiction.

15. No financial, legal, or tax advice

Nothing on the Platform is financial, legal, investment, or tax advice. You should consult qualified professionals before participating. We are not your broker, adviser, or fiduciary.

16. Forward-looking statements

The Platform and our documentation contain forward-looking and provisional statements about plans, roadmap, token design, and economics. These reflect current intent only, are subject to change without notice, and are not commitments. Actual outcomes may differ materially.

17. Changes to these terms

We may update these Terms from time to time. Material changes will be indicated by updating the "last updated" date and, where appropriate, by notice on the Platform. Your continued use after changes take effect constitutes acceptance.

18. Governing law and disputes

These Terms are governed by the laws of the Republic of Panama, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Platform will be resolved by final and binding arbitration seated in Panama City, Republic of Panama, conducted in English. Each party waives any right to bring or participate in a class or representative action.
